Limitation of liability
To the fullest extent permitted by law, Emulation and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to the Services or these Terms, even if advised of the possibility.
To the fullest extent permitted by law, Emulation aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the amount you paid to Emulation for the Services giving rise to the claim during the twelve months before the claim or (b) one hundred U.S. dollars. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum permitted by law.
Indemnity
You will defend and indemnify Emulation and its affiliates, officers, agents, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising out of your use of the Services, your breach of these Terms, or your violation of applicable law.
Termination
We may suspend or terminate access to the Services if you materially breach these Terms or if required for legal or security reasons. Provisions that by their nature should survive termination will survive, including license restrictions, disclaimers, limitations of liability, and indemnity.
Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules. Courts located in Delaware have exclusive jurisdiction for disputes, except where consumer protection law in your country of residence requires a different forum.
General
If any provision is held invalid, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These Terms constitute the entire agreement between you and Emulation regarding the Services and supersede prior agreements on the subject.
